Terms of Service

1. Introduction

This Terms and Conditions agreement ("Terms") is a legally binding contract between Recsites ("Recsites", "we", "us", or "our") and you, the user or client ("Client" or "you"), governing your subscription to and use of Recsites’ recruitment website services (the "Service"). By subscribing to or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

2. Service Overview

2.1 Description of Service: Recsites is a Software-as-a-Service (SaaS) provider that offers all-inclusive recruitment-focused website packages. Our Service provides Clients with a professionally designed recruitment website built on our templates and platform, which is then customised for each Client’s branding and needs. The Service includes full access to a WordPress-based Content Management System (CMS) for the Client to manage website content, including built-in tools for compliance with data protection regulations such as GDPR.

2.2 Website License: While subscribed to the Service, the Client is granted a limited, non-exclusive, non-transferable license to use the provided recruitment website. This license allows the Client to use and display the website for their business purposes during the subscription term. The Client understands and agrees that they do not own the underlying website design, template, software code, or any of Recsites’ proprietary materials that make up the website Service; those materials remain the exclusive property of Recsites and/or its licensors.

2.3 Client Content Ownership: The Client retains ownership of all content they upload or provide to the website, including but not limited to text, images, videos, logos, and other materials ("Client Content"). Recsites does not claim ownership of Client Content. By providing Client Content to Recsites or uploading it to the website, the Client grants Recsites a worldwide, royalty-free license to host, use, reproduce, modify (for formatting or technical purposes), and display the Client Content as necessary for operating and maintaining the Service. This license is granted only for the duration the Client is subscribed to the Service. Upon termination of the subscription (and after any applicable data retention period described below), Recsites will cease hosting and displaying the Client Content, except as otherwise permitted or required by law.

2.4 Full Administrative Access: During the subscription term, the Client will have full administrative access to the WordPress CMS for their website. The Client is responsible for maintaining the confidentiality of their login credentials and for any actions taken on the website through their account. The Client is able to use the CMS’s standard features, including tools to manage and export or delete personal data to help comply with GDPR and other data protection regulations. Recsites will ensure that standard WordPress GDPR compliance features are enabled, but the Client is responsible for using these tools properly and for their own legal compliance in how they collect, process, and use personal data on the website.

3. Billing & Payment

3.1 Subscription Model: Recsites services are provided on a month-to-month subscription basis. There is no long-term contract or minimum commitment; the agreement renews automatically each month unless canceled by the Client in accordance with these Terms. No advance notice period is required for cancellation (see Section 5 on Termination for details on how cancellation is handled).

3.2 Fees and Payment Method: The subscription fee and any applicable taxes (such as VAT) are due and payable monthly. All payments will be processed securely via our third-party payment processor, Stripe. Recsites accepts payment methods supported by Stripe, including direct debit and major debit or credit cards. By providing a payment method, the Client authorises Recsites to charge the subscription fees to that payment method on a recurring monthly basis.

3.3 Failed Payments: If a monthly payment fails (for example, due to an expired card or insufficient funds), Recsites will attempt to retry the payment up to five (5) times. We will notify the Client of the failed payment and provide an opportunity to update payment details. If payment is not successfully completed after five attempts, Recsites reserves the right to suspend or terminate the Service for non-payment. In the event of termination due to non-payment, the Client’s access to the website will be disabled at the end of the current billing period. To regain service after a termination for non-payment, the Client will need to re-subscribe at the then-current public pricing, which may be higher than the Client’s previous rate.

3.4 No Prorated Refunds: All subscription fees are non-refundable. If the Client cancels the Service or if the Service is terminated partway through a month, the Client will continue to have access to the Service until the end of the paid billing cycle, but no prorated refunds will be given for the remaining days in that cycle.

4. Service and Support

4.1 Included Support Services: As part of the standard subscription, Recsites provides support services related to the functioning of the website platform. Included support consists of:

  • Q&A Support: Answering the Client’s questions regarding use of the website and CMS.

  • Self-Help Resources: Providing access to a library of help videos and documentation for self-service learning.

  • Maintenance Updates: Performing regular software updates to the website’s core software, themes, and plugins to maintain security and functionality.

  • Backups: Conducting routine backups of the website’s data and content to prevent data loss.

  • Uptime Monitoring: Monitoring the website to ensure it is accessible, with a target of at least 99% uptime each calendar month.

Support inquiries can be submitted through Recsites’ support channels (e.g., email or support portal), and Recsites will make reasonable efforts to respond in a timely manner during normal business hours.

4.2 Exclusions – Content Updates and Changes: The standard support does not include the creation of new content, copywriting, design changes, or other content updates on behalf of the Client. The Client is responsible for adding and updating their own job postings, text, images, and other content on the website through the CMS. Should the Client require assistance with content updates or more involved site changes beyond basic support guidance, they may purchase a separate Web Care package as described in Section 4.3.

4.3 Web Care Services (Optional): If the Client opts to purchase a Web Care package (for additional hands-on support or site changes beyond the standard included support), the following terms apply:

  1. Pre-Paid Time Blocks: Web Care services are billed in 15-minute increments and must be purchased in advance. The Client will pay for a block of time, and Recsites will deduct from this time balance as work is completed.

  2. Scope of Work and Client Input: Recsites will only begin work on Web Care service requests after receiving all necessary input, content, and clarifications from the Client. Delays in providing required information may result in delays in completion of the requested work.

  3. "Fast" and "Rush" Upgrades: If the Client purchases a “Fast” or “Rush” service upgrade for urgent tasks, the time spent on such tasks is limited to a maximum of 4 hours per day. This limitation ensures fairness and quality of work.

  4. Time & Materials Basis: All Web Care work is performed on a time-and-materials basis. Any estimates or quotes provided by Recsites for a task under Web Care are good-faith estimates, not fixed-price guarantees. The final billable time will reflect the actual hours worked to complete the Client’s request, even if it differs from an estimate.

  5. Ad-Hoc Support Rate: If the Client requires support or maintenance work without a Web Care package (i.e., on an ad-hoc basis outside of the included support), such work must be scheduled at least 10 days in advance. Ad-hoc support is billed at the rate of $175 USD per hour (or the equivalent in local currency) plus any applicable VAT, with a minimum billing increment of one hour.

5. Termination and Data Handling

5.1 Cancellation by Client: The Client may cancel their month-to-month subscription at any time, with no advance notice required. Cancellation can typically be completed through the Recsites client portal or by contacting Recsites support. Once canceled, the Service will remain active until the end of the current paid billing period, at which point it will terminate and the website will become inaccessible to the Client and the public.

5.2 Termination or Suspension by Recsites: Recsites may suspend or terminate the Client’s access to the Service for breach of these Terms (including non-payment as described in Section 3.3) or if the Client’s use of the Service violates any applicable laws or regulations or harms the integrity of the Service. In such cases, Recsites will provide notice to the Client when feasible. Termination for cause may be immediate if necessary to comply with law or to protect Recsites’ rights or other users.

5.3 Effect of Termination: Upon termination or expiration of the Service for any reason:

  • The Client’s website will go offline and will no longer be accessible on the internet.

  • The license granted to the Client to use the Recsites platform and website (as described in Section 2.2) will immediately end.

  • Any rights and access provided to the Client under these Terms will cease.

5.4 Data Retention and Export: Recsites will retain a backup of the Client’s website data and Client Content for a period of three (3) months after cancellation or termination of the Service. During this retention period, the Client may request in writing (e.g., via email or support ticket) an export of their content and data (for example, an export of the WordPress content or a copy of the database). Recsites will provide the data export in a common format (such as a WordPress XML export or similar) as is reasonably practicable. After the 3-month period has elapsed, Recsites reserves the right to permanently delete the Client’s website data and content from its systems, and will have no further obligation to retain or provide such data.

5.5 Client Data Responsibilities: It is the Client’s responsibility to export or back up any content or data they wish to retain before the Service terminates or within the above-mentioned 3-month window after cancellation. Recsites is not liable for any loss of Client Content or data after the data retention period has passed.

6. Client Obligations and Acceptable Use

6.1 Eligible Businesses Only: Recsites’ Service is intended exclusively for use by recruitment businesses and agencies. By using the Service, the Client represents that they are a bona fide recruitment or staffing business (or a related professional service). Recsites reserves the right to refuse or discontinue service to businesses outside of this scope in order to maintain its focus and expertise in the recruitment industry.

6.2 Prohibited Content and Activities: The Client agrees not to use the Service to host, store, or transmit any content or engage in any activities that are unlawful or that Recsites deems, in its sole discretion, to be prohibited. Prohibited content includes, but is not limited to:

  • Adult or Pornographic Material: No pornographic, sexually explicit, or adult content.

  • Gambling: No content related to gambling, betting, or casinos.

  • Hate or Harassment: No hate speech, extremist material, or content that is offensive, abusive, or discriminatory (including racist, sexist, xenophobic, or homophobic material).

  • Defamatory or Derogatory Content: No content that defames, harasses, or maligns any individual, group, or entity.

  • Illegal Activities: No content that infringes on the intellectual property rights of others, violates privacy or data protection laws, or is in furtherance of any illegal activities (e.g., fraud, phishing, distributing malware).

The Client is also prohibited from using the Service to engage in any activity that could harm or disrupt the Service or other users. This includes attempts to hack or penetrate the Service’s security, introducing viruses or malicious code, or using the website to send unsolicited mass communications (spam) or fraudulent messages. Recsites may remove or disable access to any content that violates these provisions and may suspend or terminate the Client’s access to the Service for violations.

6.3 Compliance with Laws: The Client must use the Service in compliance with all applicable laws and regulations, including but not limited to laws relating to employment and recruitment (as the website will be used for recruitment activities), intellectual property laws, and privacy/data protection laws (e.g., GDPR or similar regulations in the Client’s jurisdiction). The Client is solely responsible for ensuring that their content and recruitment practices on the website meet all legal requirements.

6.4 Client Representations: The Client represents and warrants that all information provided to Recsites during sign-up and throughout use of the Service is truthful and accurate, and that the Client has all necessary rights and permissions to use and upload any content provided to Recsites or posted on the website. The Client also warrants that their use of the Service will not violate any applicable laws or regulations.

7. Data Protection and GDPR

7.1 GDPR Compliance Features: Recsites utilizes WordPress as the foundation for its Service, and WordPress includes standard tools to assist with GDPR compliance (such as the ability to export or delete user personal data on request, and options for cookie consent banners via plugins). Recsites will ensure these standard compliance features are available on the Client’s website. However, providing the technical capability for compliance does not guarantee the Client’s compliance; the Client is responsible for actually using those features and fulfilling their legal obligations (e.g., responding to data subject requests, publishing and adhering to a privacy policy, etc.).

7.2 Data Processing and Privacy: In the course of providing the Service, Recsites may process personal data on behalf of the Client (for example, data of candidates or applicants who submit information through the website). Recsites will handle such data in accordance with applicable data protection laws and the Recsites Privacy Policy. Generally, the Client is considered the “Data Controller” of personal data collected via their recruitment website, and Recsites is a “Data Processor” acting on the Client’s instructions by hosting and processing that data for the purpose of providing the Service. Recsites will implement appropriate technical and organizational measures to protect personal data against unauthorized access, loss, or disclosure.

7.3 Data Breach Notifications: Recsites will notify the Client without undue delay upon becoming aware of a data breach on Recsites’ systems that affects the Client’s personal data. Recsites will provide information about the nature of the breach, the data potentially affected, and the steps being taken to mitigate and remediate the breach, as required by law.

7.4 Client’s Privacy Obligations: The Client must post and maintain a legally compliant privacy policy on their website that transparently discloses to visitors (including job applicants) how the Client collects, uses, and shares personal data. The Client is responsible for obtaining any necessary consents from users (for example, cookie consent or consent to collect personal information) and for honoring data subject rights requests in compliance with GDPR or other applicable privacy laws. If the Client is unsure of their obligations, it is their responsibility to seek legal advice; Recsites does not provide legal advice regarding compliance.

8. Marketing and Branding

8.1 “Powered by Recsites” Attribution: All websites provided through the Recsites Service will include a small attribution in the footer, such as “Powered by Recsites,” which links back to our website. The Client agrees not to remove, hide, or alter this attribution. This branding is a condition of the Service and helps identify Recsites as the platform provider.

8.2 Marketing and Portfolio Usage: The Client grants Recsites the right to list the Client as a customer and to display the Client’s website, name, and logo in Recsites’ marketing materials, website, presentations, and portfolio, for the purpose of showcasing Recsites’ services. This may include, for example, featuring the Client’s homepage or a case study about the Client’s site as an example of our work. Recsites will not disclose any confidential information of the Client in doing so, and will limit such use to information and content that is already publicly available (or provided by the Client for this purpose). If the Client objects to a specific use after it has begun, they may notify Recsites, and Recsites will consider reasonable requests to modify or cease that use going forward.

9. Intellectual Property Rights

9.1 Recsites Intellectual Property: All rights, title, and interest in and to the Service, including the website platform, templates, themes, software code, proprietary algorithms, trademarks, trade names, logos (excluding the Client’s own logo), and any other materials provided by Recsites are and will remain the exclusive property of Recsites and its licensors. These materials are protected by copyright, trademark, and other intellectual property laws. Except for the limited license expressly granted to the Client in these Terms, nothing in this agreement transfers any ownership or rights to the Client. The Client agrees not to reverse engineer, decompile, or otherwise attempt to derive the source code or underlying ideas or algorithms of the Service.

9.2 Client Intellectual Property: The Client retains all rights, title, and interest in and to the Client Content and the Client’s own trademarks, logos, and branding elements that they supply to Recsites or upload to the website. The Client grants Recsites a limited license to use these materials only as needed to provide the Service (such as copying content to backup servers, displaying it on the website, or using the Client’s logo within the site’s design for identification). Recsites acknowledges that it obtains no ownership of the Client’s intellectual property, and all such materials remain the property of the Client or its rightful owner.

9.3 Feedback: If the Client provides any feedback, suggestions, or ideas about the Service to Recsites, the Client agrees that Recsites may freely use and incorporate such feedback without any obligation to the Client. Any improvements or modifications to the Service based on Client feedback are the exclusive property of Recsites.

10. Disclaimers and Limited Warranty

10.1 Service Provided "As Is": Except as expressly provided in these Terms (such as the uptime target noted in Section 4.1), the Service is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Recsites disclaims all warranties of any kind, whether express, implied, or statutory, including any implied warranties of title, non-infringement, merchantability, or fitness for a particular purpose. Recsites does not guarantee that the Service will be uninterrupted or error-free; however, we will use commercially reasonable efforts to achieve the 99% uptime target and to promptly address any technical issues that arise.

10.2 Client’s Responsibility for Results: The Client understands that Recsites provides the platform and tools for the Client’s recruitment website, but the Client’s success in using the website (for example, attracting candidates or clients) depends on many factors outside Recsites’ control. Recsites makes no guarantee or warranty regarding the results or business outcomes that the Client may achieve by using the Service.

10.3 Third-Party Services: The Service may incorporate or rely on third-party software or services (for example, WordPress plugins, hosting providers, or payment gateways like Stripe). While Recsites will make reasonable efforts to ensure third-party components operate smoothly, Recsites has no control over third-party services and thus cannot guarantee their performance or reliability. Accordingly, Recsites is not responsible for issues attributable to failures of third-party services, though we will endeavor to mitigate and resolve such issues to the extent within our control.

11. Limitation of Liability

11.1 Types of Damages: To the fullest extent permitted by applicable law, in no event will Recsites be liable to the Client for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities, whether incurred directly or indirectly, arising out of or in connection with the use of (or inability to use) the Service, or otherwise arising from the relationship between the Client and Recsites, even if Recsites has been advised of the possibility of such damages.

11.2 Cap on Liability: To the fullest extent permitted by law, Recsites’ total aggregate liability for all claims arising under or relating to this agreement or the Service, whether in contract, tort (including negligence), or otherwise, shall be limited to the total amount of fees actually paid by the Client to Recsites for the Service in the six (6) months immediately preceding the event giving rise to the claim. If the Client has been subscribed for fewer than six months, the liability cap shall be the equivalent of six months of subscription fees at the rate in effect at the time of the event.

11.3 Exceptions: Nothing in these Terms is intended to exclude or limit liability for: (a) death or personal injury caused by negligence; (b) gross negligence or willful misconduct; (c) fraud or fraudulent misrepresentation; or (d) any liability which cannot be excluded or limited under applicable law (such as certain statutory warranties that may apply to consumers).

12. Indemnification

The Client agrees to indemnify, defend, and hold harmless Recsites and its affiliates, officers, directors, employees, agents, and partners from and against any and all third-party claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees and court costs) arising out of or in any way connected with: (a) the Client’s use of the Service (including any activities under the Client’s account, whether by the Client or by any person using the Client’s login credentials); (b) the Client’s violation of these Terms or of any law or regulation; or (c) the Client’s infringement of any intellectual property or other rights of any third party. Recsites reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by the Client. If Recsites does assume the defense of a claim, the Client agrees to cooperate with any reasonable requests assisting Recsites’ defense of such matter. This indemnity obligation will survive the termination or expiration of the Service and these Terms.

13. Modifications to Service or Terms

13.1 Changes to Service: Recsites reserves the right to modify, suspend, or discontinue any part of the Service at any time. For example, Recsites may update the platform, change features, or discontinue support for a particular plugin to improve the Service or comply with legal requirements. In the event of any material reduction in the core functionality of the Service, Recsites will endeavor to provide advance notice to the Client. If such a change materially and adversely affects the Client’s use of the Service, the Client may terminate the Service and, if the Client has prepaid for any period beyond the termination date, receive a prorated refund for the unused portion of that prepaid period.

13.2 Changes to Terms: Recsites may update or revise these Terms from time to time. If Recsites makes a material change to the Terms, we will notify the Client by email (sent to the address on the Client’s account) or by providing notice through the Recsites dashboard/website. The notice will include the effective date of the updated Terms, which will be at least 30 days after the notice. If the Client objects to the updated Terms, the Client may cancel their subscription before the effective date. Continuing to use the Service after the new Terms take effect will constitute acceptance of the updated Terms.

14. Miscellaneous

14.1 Entire Agreement: These Terms (along with any Order Form or subscription plan details agreed to, and the Recsites Privacy Policy which is incorporated by reference) constitute the entire agreement between the Client and Recsites regarding the Service. They supersede all prior or contemporaneous understandings, agreements, negotiations, or communications (whether oral or written) between the parties regarding the subject matter of these Terms.

14.2 Severability: If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions of these Terms will remain in full force and effect.

14.3 No Waiver: The failure of either party to enforce any right or provision of these Terms shall not operate as a waiver of that right or provision or any other provision. Any waiver of rights must be in writing and signed by the party waiving such rights.

14.4 Assignment: The Client may not assign or transfer any of their rights or obligations under these Terms without the prior written consent of Recsites. Any attempt to assign without consent will be null and void. Recsites may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets, or by operation of law or otherwise. These Terms shall bind and inure to the benefit of the parties, their successors, and permitted assigns.

14.5 Relationship of Parties: The relationship between Recsites and the Client is that of independent contractors. Nothing in these Terms shall be construed to create a partnership, franchise, joint venture, agency, fiduciary, or employment relationship between the parties. Neither party has the authority to bind the other or incur obligations on the other’s behalf without prior written consent.

14.6 Notices: Except as expressly provided otherwise in these Terms, any notices or communications to Recsites should be sent to Recsites at its official business address or email as provided on our website, and notices to the Client will be sent to the email or physical address associated with the Client’s account. Notices will be deemed received: (i) if by email, when the email is sent (provided no bounce or error message is received); or (ii) if by courier or postal mail, upon delivery.

14.7 Governing Law and Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of England & Wales, without regard to its conflict of laws principles. The parties agree that any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England & Wales, and each party consents to the personal jurisdiction of such courts. (If the Client is a consumer based in the European Union or elsewhere worldwide, this clause does not deprive the Client of the protections of any mandatory provisions of the law of the country where the Client habitually resides.)
